OFFICIAL RULES
NO PURCHASE NECESSARY TO ENTER OR WIN THE CONTEST, OR TO CLAIM A PRIZE. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.
FOR RESIDENTS OF THE UNITED STATES, THESE OFFICIAL RULES CONTAIN AN ARBITRATION AGREEMENT, WHICH WILL, WITH LIMITED EXCEPTION, REQUIRE YOU TO SUBMIT CLAIMS YOU HAVE AGAINST SPONSOR (AS DEFINED BELOW) TO BINDING AND FINAL ARBITRATION. UNDER THE ARBITRATION AGREEMENT, (1) YOU WILL ONLY BE PERMITTED TO PURSUE CLAIMS AGAINST SPONSOR ON AN INDIVIDUAL BASIS, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION OR PROCEEDING, AND (2) YOU WILL ONLY BE PERMITTED TO SEEK RELIEF (INCLUDING MONETARY, INJUNCTIVE, AND DECLARATORY RELIEF) ON AN INDIVIDUAL BASIS.
The Partiful Derby Fund Contest (the “Contest”) begins at 12:00 a.m. ET on March 24, 2026 (the “Contest Start Date”) and ends at 11:59 p.m. ET on May 2, 2026 (the “Contest End Date”) (such period referred to herein as the “Contest Period”). The Contest is sponsored by Partiful Co. (the “Sponsor”). ANY VIOLATION OF THESE OFFICIAL RULES BY ANY ENTRANT MAY RESULT IN DISQUALIFICATION, AND ALL PRIVILEGES (INCLUDING THOSE AS WINNER, IF APPLICABLE) WILL BE IMMEDIATELY TERMINATED.
- HOW TO ENTER: To enter the Contest,
Step 1: Create one (1) or more events to be held during the Contest Period on Sponsor’s website at any of the following landing pages: https://partiful.com/derby-horse, https://partiful.com/derby, https://partiful.com/derby-fnb (each, an “Event”) and provide the date of the Event, the location, number of spots, cost per person (which must be $0) and a description of your Event
Limit one (1) entry per Event; if you are hosting multiple Events during the Contest Period, you may complete a Submission for each such Event. Participation in the Contest is voluntary and does not require you to purchase anything from Sponsor. No illegible, incomplete, forged or altered entries will be accepted. You are not required to subscribe to the Sponsor’s marketing communications or newsletter in order to be eligible to enter, and subscribing to the Sponsor’s marketing communications or newsletter will not increase your odds of winning. EVENTS MUST OCCUR DURING THE CONTEST PERIOD AND RECEIVE AT LEAST FIVE (5) RSVPS ON SPONSOR’S WEBSITE IN ORDER TO BE ELIGIBLE TO WIN, AND MUST ACTUALLY TAKE PLACE – ENTRANTS WHO PROVIDE A SUBMISSION FOR AN EVENT THAT DOES NOT RECEIVE AT LEAST FIVE (5) RSVPS ON SPONSOR’S WEBSITE OR THAT IS CANCELLED OR OTHERWISE DOES NOT TAKE PLACE DURING THE CONTEST PERIOD ARE NOT ELIGIBLE TO WIN IN CONNECTION WITH SUCH SUBMISSION.
Personal data provided in connection with all Submissions will be processed in accordance with Sponsor’s privacy policy located at https://partiful.com/privacy. As part of the Contest, entrants may choose to receive marketing communications (for example, via email or newsletter). For residents of the United Kingdom, marketing communications will only be sent if an entrant has provided his or her separate express consent and such entrants may withdraw this consent at any time.
- PRIZE: There will be one (1) winner selected in accordance with the criteria set forth below (each, a “Winner”). Each Winner will receive a cash prize in the amount of $250.
Sponsor will pay each Winner the cash prize via the PayPal account provided to Sponsor after the selection of Winners. Total approximate retail value of all prizes is $250 USD (actual value may vary). Odds of winning are affected by the number of eligible entries received by the Contest End Date. The Winners will be solely responsible for all other expenses not specifically set forth herein. Sponsor reserves the right to substitute prizes of equal or greater value. No other substitution or transfer of prizes permitted. In order to receive a prize, the Winners may be required to provide proof of eligibility, including name, age, address and date of birth. Any and all taxes on any prize, including income and/or sales taxes, are the sole responsibility of the Winners. All entrants agree that information provided by Sponsor is not advice, including but not limited to, tax advice or legal advice, and every entrant is advised to consult a professional, including a tax professional.
- ELIGIBILITY: The Contest is only open to entrants who are (a) legal residents of the United States (excluding Puerto Rico and all U.S. territories and possessions) and/or the United Kingdom, and (b) at least eighteen (18) years of age at the time of entry. Entries are limited to individuals only; commercial enterprises and business entities are not eligible. Failure to comply with the terms and conditions in these Official Rules will result in disqualification, and will allow the Sponsors to select an alternate Winner. Employees, independent contractors, officers, and directors of the Sponsors, affiliates, subsidiaries, partners, advertising, promotion, and fulfillment agencies, and legal advisors, and their immediate family members and persons living in the same household, are not eligible to participate in the Sweepstakes. By participating in the Contest, each entrant accepts the conditions stated in these Official Rules, agrees to be bound by the decisions of the Sponsor and warrants that she/he is eligible to participate in the Contest. THE CONTEST IS VOID WHERE PROHIBITED OR RESTRICTED BY LAW and is subject to applicable federal, state and local laws and regulations. Sponsor may immediately disqualify any entrant if such entrant violates any terms of these Official Rules, including the foregoing eligibility requirements, in Sponsor’s sole discretion.
- SELECTION OF WINNERS: Following the Contest Period, a panel of Sponsor’s employees and partners (the “Panel”) in its sole discretion will select the potential winners with the highest-scoring entries from among all eligible Submissions based on the following criteria:
- Creativity: How creative is the Event concept described in the Submission? (33.333%);
- Clarity and Effort: How much effort did the entrant put into describing the Event in the Submission, as evidenced by how complete and clear the description is? (33.333%); and
- Impact: How many people will this Event reach? (33.333%).
In the event of a tie between two or more Submissions, the entrant with the Submission that received the highest score for Creativity, as determined by the Panel in its sole discretion, will be deemed the Winner. Each of the Winners will be notified by email on a rolling basis using the email address provided during the entry process withinof the Contest End Date. In the event a Winner does not accept a prize, a Winner is ineligible, or the prize or prize notification is not deliverable, an alternate Winner may be selected based on the judging criteria set forth above. Sponsor is not responsible for and shall not be liable for late, lost, misdirected or unsuccessful efforts to notify a Winner. Sponsor’s decisions are final and binding. Each Winner agrees to Sponsor’s use of its name, address, likeness, and/or prize information for promotional purposes in any medium without additional compensation to the extent permitted by law. Where lawful, the Winners may be required to sign and return an Affidavit of Eligibility, Release of Liability, and Publicity Release.
- CONDITIONS: Sponsor and its agents, directors, officers, shareholders, employees, insurers, servants, parents, subsidiaries, divisions, affiliates, predecessors, successors, representatives, advertising, promotion, and fulfillment agencies, and legal advisors (the “Released Entities”), are not responsible for, shall not be liable for, and hereby disclaim all liability arising from or relating to: (a) late, lost, delayed, damaged, misdirected, misaddressed, incomplete, or unintelligible entries; (b) telephone, electronic, hardware or software program, network, Internet, computer or other malfunctions, failures, or difficulties of any kind, whether human or technical; (c) failed, incomplete, garbled, or delayed computer or e-mail transmissions; (d) any condition caused by events beyond the control of Sponsor; (e) any injuries, losses, or damages of any kind arising in connection with or as a result of any prize, or any portion thereof that may have been awarded, or acceptance, possession, or use of any prize, or any portion thereof that may have been awarded, or from participation in the Contest; or (f) any printing or typographical errors in any materials associated with the Contest. Sponsor reserves the right, in its sole discretion, to suspend, modify or cancel the Contest should any unauthorized human intervention, force majeure event or other causes beyond Sponsor’s control corrupt or affect the administration, security, fairness or proper conduct of the Contest. As used herein, an event of force majeure shall be deemed to include, without limitation, an act of God; pandemic; war, riot or civil commotion; terrorism; fire; casualties; utility failure, boycott; labor dispute, strike or stoppage (including a strike by the members of any union); an act of any federal, state or local authorities; or any other similar or dissimilar act beyond Sponsor’s reasonable control. In the event that proper administration of the Contest is prevented by such causes as contemplated above, Sponsor shall be relieved of its executory obligations with regard to awarding the prizes or any portion thereof (except to the extent such obligations may not be relieved pursuant to applicable laws). By participating in the Contest, the entrants and Winners agree to release, discharge and hold harmless the Released Entities, and all others associated with the development and execution of the Contest, from any and all losses, damages, rights, claims and actions of any kind arising out of or relating to the Contest, participation in the Contest, any prize, or any portion thereof that may have been awarded, and/or acceptance, possession, use or misuse of any prize, or any portion thereof that may have been awarded, including but not limited to statutory and common law claims for misappropriation or the entrant’s right of publicity. For the avoidance of doubt, the limitations and restrictions set forth in these Official Rules are in addition to, and not in lieu of, any similar limitations and restrictions set forth in Partiful’s Terms of Use set forth at https://partiful.com/terms (the “Terms of Use”). Nothing in these Official Rules shall exclude or restrict liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation or in any other circumstances where liability may not be limited or excluded under applicable law. These Official Rules, and any dispute or claim (including any non-contractual dispute or claim) arising out of or in connection with them, shall be governed by and construed in accordance with: (a) if you are a resident of the United States, the laws of New York; or (b) if you are a resident of the United Kingdom, the laws of England and Wales. For residents of the United Kingdom, you and Sponsor irrevocably submit to the exclusive jurisdiction of the courts of England and Wales.
- ARBITRATION AGREEMENT FOR UNITED STATES RESIDENTS: PLEASE READ THIS SECTION CAREFULLY AS IT AFFECTS YOUR RIGHTS.
- Agreement to Arbitrate. This Section 6 is referred to in these Official Rules as the “Arbitration Agreement.” You agree that any and all disputes or claims that have arisen or may arise between you and Sponsor, whether arising out of or relating to these Official Rules (including any alleged breach thereof), any advertising, any aspect of the relationship or transactions between us, shall be resolved exclusively through final and binding arbitration, rather than a court, in accordance with the terms of this Arbitration Agreement, except that you may assert individual claims in small claims court, if your claims qualify. Further, this Arbitration Agreement does not preclude you from bringing issues to the attention of federal, state, or local agencies, and such agencies can, if the law allows, seek relief against us on your behalf. You agree that, by entering into these Official Rules, you and Sponsor are each waiving the right to a trial by jury or to participate in a class action. Your rights will be determined by a neutral arbitrator, not a judge or jury. The Federal Arbitration Act governs the interpretation and enforcement of this Arbitration Agreement.
